These Terms of Service (“Terms”) are a binding agreement between Halo AI Ventures Corp (“Halo,” “we,” “us,” or “our”) and the business that signs up for or uses the Halo platform and related services (the “Service”) (“Customer,” “you,” or “your”). You accept these Terms, the Privacy Policy and the Customer Agreement by checking the box at signup or by using the Service. If you accept for a company or other organization, you confirm you have authority to bind it, and “Customer” means that organization.

1. The Service

Halo is an AI phone receptionist. As you configure it, it answers your business’s inbound calls, talks with callers, takes their details, can book appointments and send text messages, and keeps a written transcript and summary of each call. It does not record or keep call audio. Callers are told they are speaking with an AI assistant and that the call is transcribed.

The assistant is automated and can make mistakes: it can misunderstand a caller, give an answer based on wrong or incomplete information, or produce a transcript that is not word for word. You should review its transcripts, summaries and bookings and not rely on it for anything where a mistake could cause serious harm.

We may improve or change the Service. We will give reasonable advance notice of a change that materially reduces a feature you use.

2. Eligibility and accounts

The Service is for businesses. You confirm that you are using it for business purposes, not for personal, family or household purposes, and that the person signing up is at least 18 years old. Keep your registration details accurate and your password secure. You are responsible for activity on your account, including by your team members. Tell us at customerservice@haloaigroup.com straight away if you suspect someone has accessed your account without permission.

3. Plans, fees and payment

3.1 Plans and prices

The Service is sold by monthly subscription. Each plan’s price, included AI minutes and overage rate are shown on our pricing page and at checkout. We will give you at least 30 days’ notice before a price increase applies to your plan, and you may cancel before it takes effect.

3.2 Trial and activation fee

A new subscription starts with a 14-day trial that includes 100 AI minutes. A payment card is required, and a one-time $20 activation fee is charged when the trial starts. The activation fee is not refundable; if you continue past the trial, it is credited toward your first monthly invoice. You are not charged the monthly price during the trial. Unless you cancel before the trial ends, your paid plan starts when the trial ends and your card is charged the plan’s monthly price, then every month on that same day until you cancel. When your subscription starts we email you these renewal terms and how to cancel.

3.3 Billing

Subscriptions are billed monthly, in advance. AI voice minutes beyond your plan’s included minutes are billed at the per-minute rate shown on our pricing page, on your next monthly invoice. Payments are processed by Stripe, and you authorize us to charge your payment method for all fees due.

3.4 Cancellation

You can cancel online at any time in Settings, then Billing, without contacting anyone, or by emailing customerservice@haloaigroup.com. Cancellation stops future charges, and the Service continues until the end of the period you have already paid for.

3.5 Taxes, failed payments and refunds

Fees do not include taxes; you are responsible for applicable sales, use and similar taxes, other than taxes on our income. If a payment fails, we may suspend the Service until it is paid. Except where the law requires otherwise, fees already charged are not refunded.

3.6 Usage you originate

You are responsible for charges from calls and messages your account originates, including calls forwarded to numbers you set. The Service places calls and messages only to United States and Canadian numbers unless we agree otherwise in writing. We may suspend outbound calling or messaging without notice if usage looks fraudulent or abusive.

4. Your responsibilities

4.1 Lawful use

You will use the Service lawfully, including laws on telemarketing, consumer protection, privacy, call recording and interception, and AI disclosure that apply to your business and your callers.

4.2 What callers are told

The Service tells callers they are speaking with an AI assistant and that the call is transcribed, and it says it is an AI whenever a caller asks. You are responsible for any further notice or consent your business or industry requires, and for not configuring greetings or instructions that contradict these disclosures.

4.3 Text messages

The Service sends text messages for your business only through its own consent process: a caller must agree, and the assistant states the purpose, that message and data rates may apply, and how to opt out. Halo honors STOP replies. You will not use the Service to send marketing, promotional or telephone-solicitation messages, and you are responsible for the content of any message you or your team type yourselves. You authorize us to register your business with carriers (10DLC) using the accurate business details you provide. We may block messages or suspend texting if a carrier rejects your registration or we receive consent complaints.

4.4 Prohibited uses

You will not, and will not let anyone else:

  • use the Service for anything unlawful, fraudulent, deceptive, harassing or harmful;
  • use it for robocalls, or for messages that break the Telephone Consumer Protection Act or similar laws;
  • use it to receive protected health information. Halo is not a HIPAA business associate and does not sign business associate agreements; do not configure it for healthcare services that would require one;
  • use it to collect payment card numbers, full Social Security numbers or similar regulated identifiers;
  • use it, or content it generates, to make or substantially support a consequential decision about a person, meaning a decision about their employment, housing, credit or lending, insurance, health care, education or government services;
  • use it where a failure could lead to death, injury or serious harm;
  • reverse engineer, scrape or copy the Service, disrupt it, or test its security without our written permission; or
  • resell or provide the Service to others except as we agree in writing.

4.5 The information you give the assistant

The assistant answers from the business information and instructions you provide. You are responsible for keeping them accurate, lawful and up to date.

5. Your content

“Customer Content” means the information you give the Service and the content created when it handles calls and messages for you, including transcripts, summaries and contact details. You own Customer Content. You give Halo a non-exclusive license to host, copy, transmit and process Customer Content only to provide and support the Service to you, as described in the Privacy Policy and the Customer Agreement. Halo does not use Customer Content to train artificial-intelligence models; how our providers treat it is set out in section 4.2 of the Privacy Policy. You confirm you have the rights and permissions needed to give us Customer Content and to have the Service handle your callers’ information.

6. Third-party services

The Service depends on providers for telephony, speech recognition, AI, voices, payments, email and hosting, listed in the Privacy Policy, and on integrations you choose to connect, such as Google Calendar or Zapier. Integrations you connect are also subject to their own terms. We are not responsible for outages or failures of telephone carriers or other providers outside our reasonable control. Halo’s use of information received from Google APIs follows the Google API Services User Data Policy, including its Limited Use requirements.

7. Halo’s intellectual property

Halo and its licensors own the Service and all rights in it. While your subscription is active, we give you a limited, non-exclusive, non-transferable right to use the Service for your business. If you send us feedback, we may use it without obligation to you.

8. Suspension and termination

8.1 By you

You may cancel at any time as described in section 3.4. You remain responsible for fees incurred before cancellation.

8.2 By us

We may suspend or end your access if you materially breach these Terms, if your account is past due, if your use poses a security, legal or carrier-compliance risk, or if the law requires it. Where practical we will tell you first and give you a chance to fix the problem.

8.3 After your subscription ends

We keep your account for 30 days after your subscription ends so you can reactivate it. After that we close the account and delete its call content on the schedule in section 5 of the Privacy Policy. Before then you can export your leads and contacts in the app, and ask us for a copy of other Customer Content. Sections 3.5, 5, 7, 9 to 13 and 14 survive the end of these Terms.

9. Not an emergency service

Halo is not an emergency service and must not be relied on in an emergency. When a caller describes an emergency, the assistant tells them to call 911 or their local emergency number. The Service cannot place calls to 911 or other emergency numbers.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE EXTENT THE LAW ALLOWS, HALO DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. HALO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY CALL WILL BE ANSWERED OR COMPLETED, OR THAT AI-GENERATED CONVERSATIONS, TRANSCRIPTS OR SUMMARIES WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR REVIEWING THE SERVICE’S OUTPUT AND FOR DECISIONS YOU MAKE BASED ON IT.

11. Limitation of liability

TO THE EXTENT THE LAW ALLOWS, HALO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OR GOODWILL, ARISING FROM THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY. HALO’S TOTAL LIABILITY ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID HALO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limits apply to every kind of claim, whether in contract, tort, under a statute or otherwise, and even if a remedy fails of its essential purpose. Where the law does not allow a limit or exclusion of certain damages, it applies only as far as the law allows.

12. Indemnification

You will defend, indemnify and hold harmless Halo and its officers, directors, employees and agents against third-party claims, damages, liabilities, costs and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Service, (b) your Customer Content, (c) your breach of these Terms, (d) your violation of any law or third-party right, including telemarketing, text-message, call-recording, interception and AI-disclosure laws, and (e) protected health information or other prohibited data you configure the Service to receive in breach of section 4.4.

13. Governing law and disputes

Florida law governs these Terms, without regard to conflict-of-laws rules. The state and federal courts in Palm Beach County, Florida have exclusive jurisdiction over any dispute arising from these Terms or the Service, and both parties consent to them.

Before starting a claim, contact us at john@haloaigroup.com and we will try to resolve it with you. If it is not resolved within 30 days, either party may start formal proceedings.

14. General

14.1 Entire agreement

These Terms, the Privacy Policy, the Customer Agreement and any order form that references them are the entire agreement about the Service. If they conflict about personal information, the Customer Agreement’s data processing terms control; otherwise these Terms control.

14.2 Changes to these Terms

We may update these Terms. For a material change, we will email you at least 30 days before it applies to you; if you do not agree, you may cancel before then. Other changes take effect when posted. The version you accepted and its date are stored with your account.

14.3 Assignment

You may not assign these Terms without our written consent. We may assign them in a merger, acquisition, financing or sale of assets.

14.4 Notices

We give notice by email to your account address or in the app. Legal notices to Halo go to john@haloaigroup.com, with a copy to Halo AI Ventures Corp, 12287 Hillman Dr, Palm Beach Gardens, FL 33410.

14.5 Other terms

If a provision is unenforceable, the rest remain in effect. Not enforcing a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control, including carrier, telephone-network and internet failures. The parties are independent contractors.

15. Text message program terms (for people who receive texts)

These terms apply to text messages the Service sends to callers for a Halo customer business.

  • Program and sender: messages come from the business you called, sent through the Halo platform operated by Halo AI Ventures Corp. They are limited to appointment confirmations and reminders, follow-ups about your request, and replies to messages you send.
  • Consent: you receive messages only if you agreed, including by saying yes during a call with the business. Agreeing is not a condition of any purchase.
  • Frequency: varies with your requests.
  • Cost: message and data rates may apply.
  • Opt out: reply STOP to any message. You will get one confirmation and no further messages. You can also contact the business, or email customerservice@haloaigroup.com.
  • Help: reply HELP, or email customerservice@haloaigroup.com.
  • Carriers are not liable for delayed or undelivered messages.
  • Privacy: mobile numbers and text-message consent are never sold, rented or shared for marketing. See the Privacy Policy.
