This Customer Agreement (“Agreement”) is part of your agreement with Halo AI Ventures Corp (“Halo”) for the Halo AI phone receptionist (the “Service”), together with the Terms of Service and the Privacy Policy. Words defined in the Terms have the same meaning here.

1. Subscription

Your subscription starts with a 14-day trial and a one-time $20 activation fee, which is not refundable and is credited toward your first monthly invoice if you continue. Unless you cancel before the trial ends, your plan renews monthly at its listed price until you cancel. You can cancel online in Settings, then Billing, or by emailing customerservice@haloaigroup.com. Section 3 of the Terms sets out the full payment terms.

2. Acceptable use

You will use the Service in line with section 4 of the Terms, including its rules on caller notices, text messages and prohibited uses. You are responsible for how your account is configured and for your team’s use of it.

3. Data processing terms

This section applies to personal information about the people who call or text your business that Halo processes for you (“Caller Information”). For Caller Information, you are the business that decides how it is used (the controller), and Halo is your service provider and processor.

3.1 Why Halo processes Caller Information

Halo processes Caller Information only for these purposes, on your behalf:

  • answering and handling calls to your business, and transcribing and summarizing them;
  • recognizing returning callers for your business;
  • booking, changing and confirming appointments in the calendar you connect;
  • sending the text messages a caller agreed to receive from your business;
  • delivering call details to your account, your notifications and the integrations you connect;
  • supporting you, securing the Service, preventing fraud and abuse, and fixing errors; and
  • meeting legal obligations.

3.2 Restrictions

Halo will not:

  • sell Caller Information, or share it for cross-context behavioural advertising;
  • keep, use or disclose it for any purpose other than those in section 3.1, or outside its relationship with you;
  • combine it with personal information it receives from other customers or collects itself, except where the law allows a service provider to do so to provide the Service or keep it secure; or
  • use it to train artificial-intelligence models.

Halo will comply with the obligations that apply to it as your service provider under United States privacy laws, will tell you if it can no longer meet them, and you may take reasonable steps, including suspending or ending the Service, to stop and fix any processing that breaks this section. Halo certifies that it understands and will comply with these restrictions.

3.3 People and providers

Halo staff who can access Caller Information are bound to keep it confidential, and their access through the support console is logged. You authorize the providers listed in section 4 of the Privacy Policy. Halo uses each under written terms. One exception you should know about: the voice providers receive the text of the assistant’s replies, and their standard terms allow, or do not rule out, using content they process to improve their services (section 4.2 of the Privacy Policy). Before Halo uses a new provider for Caller Information, it will email you at least 30 days in advance. If you object on reasonable grounds and Halo cannot accommodate the objection, you may cancel before the change takes effect.

3.4 Helping you with requests and records

Halo will help you respond to requests from your callers to access, correct or delete their information, including by deleting a caller’s information on your instruction with an audited tool. If a caller contacts Halo directly, Halo will pass the request to you within 5 business days. On request, and not more than once a year, Halo will give you information reasonably needed to show it meets this section, such as answers to a reasonable security questionnaire. Halo does not offer on-site audits except where the law requires them.

3.5 Security and incidents

Halo protects Caller Information with the measures described in section 7 of the Privacy Policy. If Halo determines that a breach of security has affected Caller Information, it will tell you without undue delay and no later than 10 days after that determination, and give you the information it reasonably has so you can meet any obligation to notify your callers.

3.6 Retention and deletion

Halo keeps and deletes Caller Information on the schedule in section 5 of the Privacy Policy. When your subscription ends, your account stays available for 30 days so you can reactivate it; after the account closes, Halo deletes its call transcripts, summaries, caller profiles, caller details in its call log and text messages within 30 days, except records the Privacy Policy says it keeps longer. You can export your leads and contacts before then, and ask us to delete Caller Information sooner at customerservice@haloaigroup.com.

3.7 Your responsibilities

You are responsible for having the right to collect and use your callers’ information through the Service, for any notice or consent your callers must receive beyond what the Service provides, and for giving instructions that are lawful.

4. Order of precedence

For personal information, section 3 of this Agreement controls if it conflicts with the Terms. Otherwise the Terms control.
